On 30 June 2026, the Australian Energy Regulator (AER) granted ZEN Energy Retail Pty Ltd’s (ZEN’s) application to transfer its electricity retailer authorisation to a new related entity,  ZEN Energy Retail Holdings Pty Ltd (ZERH) under the National Energy Retail Law (Retail Law) subject to the satisfaction of conditions imposed by the AER.

ZEN is an authorised electricity retailer who currently supplies to only large customers in South Australia, New South Wales and the Australian Capital Territory.

ZEN and ZERH are required to meet 'pre-transfer conditions'  before the transfer takes effect. If ZEN and ZERH fail to meet the pre-transfer conditions within 3 months of the AER's decision, the transfer application is deemed to be refused unless the AER extends that period.

The conditions are directed to outstanding matters that are material to the AER’s decision, including satisfactory evidence that liquidity and related financial support arrangements are available, suitability requirements are met and appropriate management of customer issues arising from the transfer, including continuity of supply and customer notification.

The Notice of Decision, Conditions and Statement of Reasons provides further detail on the conditions and the reasons for them.

The AER considers these conditions appropriate to ensure reliable electricity supply for ZEN’s large customers. ZEN does not currently sell to small customers so the transfer will not affect individual consumers.

ZEN's customers are not required to take any immediate action.

The AER undertook public consultation and brought insights from interested stakeholders into its assessment process, in accordance with the AER’s Retailer Authorisation Guideline and the Retail Law.
